By using NeoWork, you agree to the terms outlined below. Please read them carefully.

1. Acceptance By accessing or using NeoWork — including the NeoWork platform and any related services (collectively, "NeoWork") — you agree to these Terms of Use. If you don't agree, please don't use NeoWork. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.
2. Description of Service NeoWork is a business AI agent operated by Emergences Labs that supports workforce decisions including role redesign, assessment creation, candidate evaluation, internal mobility, and task allocation. NeoWork is intended for use by enterprise customers and their authorized personnel.
3. Eligibility and Accounts You must be at least 18 years old to use NeoWork. You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account. You must provide accurate information at registration and keep it current.
4. Use of Service You may use NeoWork only for lawful purposes and in accordance with these Terms and any applicable enterprise agreement. You may not reverse-engineer, decompile, copy, resell, sublicense, or otherwise misuse NeoWork. You may not use NeoWork to process data you do not have the legal right to process.
5. Subscription and Billing Access to NeoWork is provided under an enterprise subscription, order form, or similar agreement between Emergences Labs and your organization. Billing terms, scope, and renewal mechanics are governed by that agreement. Where an order form exists, it controls over these Terms in case of conflict.
6. Intellectual Property All NeoWork software, models, documentation, designs, and content are owned by Emergences Labs or its licensors and protected by copyright and other intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use NeoWork during the subscription period. You retain ownership of the workforce data you upload.
7. Customer Content You grant Emergences Labs a limited license to process the data you upload solely to operate NeoWork on your behalf, as described in the Privacy Policy and any applicable Data Processing Agreement. If you submit feedback or testimonials, you grant Emergences Labs a non-exclusive, royalty-free license to use that feedback for product improvement and promotional purposes.
8. Acceptable Use You agree not to use NeoWork to:
Violate any applicable law, regulation, or third-party right.
Discriminate unlawfully against any individual or protected group.
Process data in ways that violate applicable employment, privacy, or anti-discrimination law.
Probe, scan, or test the vulnerability of NeoWork without authorization.
Interfere with the integrity, security, or performance of NeoWork.
9. Confidentiality Each party agrees to protect the other's confidential information using at least the same care it uses to protect its own confidential information, and not less than reasonable care.
10. Disclaimer NeoWork is provided "as is" and "as available." Emergences Labs does not warrant that NeoWork will be uninterrupted, error-free, or suited to any particular purpose. AI-generated outputs may contain inaccuracies and should be reviewed before action is taken.
11. Limitation of Liability To the maximum extent permitted by law, Emergences Labs is not liable for indirect, incidental, consequential, special, or punitive damages, including loss of data, revenue, or profits, arising from your use of NeoWork. Where an enterprise agreement is in effect, the liability terms in that agreement control.
12. Termination We may suspend or terminate access to NeoWork if you violate these Terms or engage in conduct that we determine is harmful to NeoWork, our customers, or third parties. Where an enterprise agreement governs your access, termination is also governed by that agreement.
13. Changes to These Terms We may update these Terms periodically to reflect changes to NeoWork or applicable law. The current version is always available at /legal/terms-of-use. Continued use after updates constitutes acceptance of the changes.
14. Governing Law These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any disputes will be resolved exclusively in the state or federal courts located in Delaware, unless an enterprise agreement specifies otherwise.
